Acceptance of Terms

By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service. If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization.

Account Registration

To use the Service, you must register for an account and provide accurate, complete, and current information. You are responsible for safeguarding your account credentials and for any activity that occurs under your account. Notify us immediately of any unauthorized access.

Use of the Service

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not (a) reverse-engineer or attempt to extract source code from the Service, (b) use the Service to develop a competing product, (c) misuse the Service to violate the rights of others, or (d) interfere with or disrupt the integrity or performance of the Service.

Subscription, Pricing, and Payment

Access to the Service is provided on a subscription basis under the edition and billing cadence you select. Fees and usage allowances are described on the Pricing page and may be updated from time to time. You agree to pay all applicable fees in U.S. dollars. Overage usage is billed in arrears at the rates in effect on the day usage is incurred.

Subscriptions automatically renew at the end of each billing period unless cancelled. Refunds are issued at our discretion and are not guaranteed except where required by applicable law.

AI-Generated Output

The Service uses third-party large language models to process inputs and generate outputs ("AI Output"). AI Output may be inaccurate, incomplete, or unsuitable for any particular purpose. You are solely responsible for reviewing, verifying, and approving AI Output before using it for any business, financial, accounting, or compliance decision. Zablen makes no warranty regarding the accuracy, reliability, or fitness of AI Output.

Customer Data and Privacy

You retain all rights to data you submit to the Service ("Customer Data"). You grant Zablen a worldwide, non-exclusive license to use Customer Data solely to provide, maintain, and improve the Service. Our handling of Customer Data is further described in the Privacy Policy and Data Processing Addendum.

Intellectual Property

The Service, including all software, designs, documentation, and trademarks, is owned by Zablen and its licensors. Except for the limited license to use the Service granted in these Terms, no rights are transferred to you. Feedback you provide may be used by Zablen without restriction or compensation.

Termination

You may terminate your subscription at any time through your account settings. Zablen may suspend or terminate your access for breach of these Terms, non-payment, or as otherwise required by law. Upon termination, your right to access the Service ends and we may delete Customer Data after a reasonable retention period.

Warranties and Disclaimers

The Service is provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Zablen does not warrant that the Service will be uninterrupted, error-free, or free from harmful components.

Limitation of Liability

To the maximum extent permitted by law, Zablen's aggregate liability arising from or related to the Service will not exceed the fees paid by you in the twelve (12) months preceding the event giving rise to the claim. In no event will Zablen be liable for indirect, incidental, consequential, special, or punitive damages.

Indemnification

You will defend, indemnify, and hold harmless Zablen from any third-party claims, damages, or expenses arising from your Customer Data, your violation of these Terms, or your use of the Service in violation of applicable law.

Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules. Any disputes will be resolved exclusively in the state and federal courts located in Delaware, and the parties consent to personal jurisdiction in those courts.

Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page indicates when these Terms were last revised. Material changes will be communicated by email or via a notice in the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
